What this agreement is

A limited, non-exclusive, non-transferable, revocable licence. It lets the Licensee administer the assessment to their clients through the platform, generate and discuss the analyses, describe themselves as an SDI Certified Practitioner while certification is current, and reference the framework in their own thought leadership – all within the SDI Framework Use Policy. Governed by the laws of Western Australia.

The cardinal restriction

Diagnosing systems drag does not confer the right to claim resolution of it. A practitioner may name and measure the load; only Hummingbird Hummingbird OS is positioned to resolve it. This single distinction is what holds the whole licensing model together – legally, ethically, and strategically – and a breach of it lets Hummingbird terminate immediately.

Key terms at a glance

Grant

Limited, non-exclusive, non-transferable, revocable. Personal to the Licensee – no assignment or sublicensing without written consent.

Certification

The right to use the Certified Practitioner mark is conditional on current certification. Lapse means the mark comes down within 14 days.

Fees

Annual Licence Fee, payable in advance in AUD. Due within 14 days of invoice. Fee schedule in Schedule 1 of the contract.

IP & confidentiality

The SDI assets stay exclusively Hummingbird's. Scoring logic and profile-weighting are trade secrets – confidentiality on those survives indefinitely.

Term

Initial term, then automatic 12-month renewals unless 30 days' notice. Either party may terminate for uncured material breach or insolvency.

Insurance

The Licensee carries professional indemnity cover of no less than AUD $2,000,000 per occurrence for the term plus six years.
